  • National and local representations of buyers and sellers of commercial properties, including office buildings, hotels, warehouse facilities, apartment properties, and shopping centers, in both individual-property and multi-property transactions;
  • Draft and negotiate letters of intent, purchase and sale agreements, and related conveyance and transfer documents;
  • Offer guidance with respect to transfer tax issues and all diligence related activities;
  • Represent owners and brokers in the negotiation of listing agreements for sale and leasing transactions;
  • Represent owners in the negotiation of property management agreements;

Real Estate Finance

  • Represent borrowers and lenders, nationally and in the Washington, D.C. metropolitan area, in construction and permanent loan transactions secured by hotels, office buildings, shopping centers, apartment properties, and warehouse facilities;
  • Represent borrowers and lenders in mezzanine finance transactions secured by the equity interests in the entities owning real estate;
  • Counsel lender and borrower clients on strategies and options for restructuring troubled or defaulted debt obligations;
  • Offer guidance in negotiations between loan participants, and between credit-enhancers and lenders;

Commercial Leasing

  • Represent landlords and tenants in leasing transactions involving office, warehouse, retail spaces, and hotel properties;
  • Represent landlords, tenants, and lenders in ground lease transactions;
  • Provide guidance in the negotiation of subordination and non-disturbance agreements;

Litigation of Real Estate Disputes

  • Purchase and sale disputes;
  • Encroachment issues;
  • Receivership actions;
  • Landlord - Tenant disputes;
  • Debt obligation enforcement actions and defenses.
