LTB regularly advises clients on mergers and acquisitions, asset sales, stock sales, reorganizations, joint ventures and strategic alliances. Recent transactions have involved web and software development companies, manufacturers, professional services firms and government contractors.

These engagements usually involve the negotiation and development of term sheets and letters of intent, the conduct of due diligence and the development of employment, severance and transition documents. The negotiation of the definitive agreement often turns on the nature and structure of the transaction and the need for escrow and earn-out provisions.

Investment Transactions

Sometimes the most valuable advice to clients involves an understanding of the outlook and process for attracting investment. Early capitalization decisions, if not carefully made, can frustrate later angel or institutional investment goals.

It is often said that management should run its business with the exit strategy in mind. From a legal perspective, this means understanding what investors are attracted to and why and what they will invest in and when. We help clients understand how to do just that. This includes realistic founder agreements, solid IP practices, the development of sound investor proposals and assistance with federal and state securities filings. Wise counsel early on can avoid major headaches later.
